Terms of Service
Last Updated: October 12, 2026
1. Acceptance of Terms
By accessing or using Quaestor Ledger (the "Service"), operated by SilkTech, LLC d/b/a Quaestor Ledger ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.
2. Description of Service
Quaestor Ledger provides AI-powered financial tracking and receipt parsing tools. We grant you a limited, non-exclusive, non-transferable license to use the service for your personal or internal business use. The Service, including its software, tools, methods, formats and documentation, is owned by SilkTech, LLC or its licensors and is licensed to you, not sold. You may not copy, modify, reverse engineer, extract or reuse any part of it beyond that license, except to the extent applicable law allows it despite this restriction, or an open-source component's license allows it. Your content remains yours under Section 4.
3. AI Agent, Heuristics, and Accuracy Disclaimer
A. No Financial, Tax, or Legal Advice (No Fiduciary Duty): Quaestor Ledger is strictly a data organization and analytics utility. The Company is not a broker-dealer, registered investment adviser, certified public accountant (CPA), fiduciary, or legal counsel. None of the outputs generated by the Service, including the AI chat agent, constitute financial, investment, tax, or legal advice.
B. Not a Consumer Reporting Agency: Quaestor Ledger is not a consumer reporting agency and does not provide consumer reports as those terms are used under the Fair Credit Reporting Act or similar laws. You may not use the Service or any output from the Service to determine eligibility for credit, employment, insurance, housing, government benefits, or any other purpose requiring a consumer report.
C. AI Hallucinations & Heuristic Limitations: You acknowledge that AI features and heuristic systems are automated and may produce incomplete, stale, inaccurate, mislabeled, duplicated, or incorrect outputs. AI-generated outputs, categorizations, summaries, projections, confidence scores, and cash-flow estimates are provided for informational and organizational purposes only and may not reflect your official financial records.
D. Strict User Verification Required: You are responsible for reviewing and verifying all balances, transactions, categorizations, receipt extractions, tax-related summaries, cash-flow estimates, and AI chat outputs against official bank, card, tax, accounting, and legal records before relying on them. SilkTech, LLC is not responsible for financial losses, tax penalties, audit outcomes, missed deductions, overdrafts, bounced payments, or other damages resulting from reliance on automated outputs.
E. No Guarantee of Outcomes: Any budgets, cash-flow projections, savings insights, spending trends, or financial summaries are estimates based on available data and may be incomplete, delayed, duplicated, miscategorized, or inaccurate. We do not guarantee any financial outcome.
4. User Responsibilities
You agree not to:
- Upload illegal, harmful, or malicious content.
- Upload or submit sensitive personal information not required for use of the Service, including Social Security numbers, full unmasked account numbers, passwords, government identification numbers, medical records, protected health information, biometric identifiers, or highly sensitive personal data.
- Reverse engineer or decompile the Service, its AI workflows, prompts, systems, infrastructure, or security controls, except to the extent applicable law allows it despite this restriction, or an open-source component's license allows it.
- Scrape, crawl, probe, overload, interfere with, bypass rate limits for, or attempt to gain unauthorized access to the Service, its AI workflows, prompts, systems, infrastructure, or security controls.
User Content License: You retain ownership of receipts, transaction data, chat prompts, uploaded files, and other content you submit. You grant SilkTech, LLC a limited, non-exclusive, worldwide license to host, store, process, reproduce, transmit, display, modify, extract, categorize, analyze, and create derivative operational outputs from your content solely as needed to provide, secure, support, improve, and operate the Service, comply with law, and enforce these Terms.
Account Security: You are responsible for maintaining the confidentiality of your account credentials, devices, and authentication methods. You are responsible for all activity under your account unless caused by our breach of these Terms or applicable law. You must promptly notify us at support@quaestorledger.com if you believe your account has been compromised.
5. Payments, Subscriptions, and Free Trials
Subscription terms, including price, billing interval, trial duration, renewal date, cancellation method, and any applicable taxes, will be disclosed at checkout. By starting a paid subscription or free trial that converts to a paid subscription, you authorize us or our payment processor to charge your payment method on a recurring basis until you cancel.
- Free Trial: Quaestor Ledger may offer free trials for a specified period. The exact duration of your free trial will be clearly communicated to you at the time of sign-up. You may be required to enter your billing information to initiate the trial. You will not be charged until the applicable free trial period concludes.
- AUTO-RENEWAL: UNLESS YOU CANCEL BEFORE THE END OF YOUR FREE TRIAL OR CURRENT BILLING PERIOD, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW, AND YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-APPLICABLE SUBSCRIPTION FEE PLUS ANY APPLICABLE TAXES. YOU MAY CANCEL THROUGH YOUR ACCOUNT SETTINGS OR BY CONTACTING SUPPORT@QUAESTORLEDGER.COM.
- Refunds: Except where required by law, as this Section and Sections 6 and 9 provide, or as expressly stated by us in writing, fees are non-refundable and we do not provide prorated refunds for partial billing periods. If you cancel, you will retain access until the end of the current paid billing period, unless the next two items apply or your account is terminated for violation of these Terms.
- If your free trial does not convert: If your free trial ends without a cleared first payment, whether the payment failed or the trial was cancelled, by you or by us, we delete your account with everything in it 7 days after the trial ends, and the read-only period in Section 9 does not apply. We tell you in writing when the trial ends without a cleared payment, with the deletion date, and again before we delete. A payment that clears before we delete keeps the account, but if you had cancelled before it was taken and have not since withdrawn your cancellation or started a new subscription, we refund it and the account is still deleted; if we delete, nothing is owed by either side for the move or the plan, and any payment taken after the deletion is refunded.
- If a renewal payment fails: Your account is read-only until the payment clears. If it has not cleared within 30 days after it was due, we may delete your account with everything in it. We tell you in writing when the payment fails, and again, with the deletion date, at least 7 days before we delete. A payment that clears before we delete keeps the account, unless you had cancelled the subscription before the charge was taken and have not since withdrawn your cancellation: then we refund it and end the subscription, which is not a termination under Section 9, and the payment does not count as cleared; if we delete, nothing is owed by either side for the plan, and any payment taken after the deletion is refunded. "If your free trial does not convert" and this paragraph apply to a free trial that starts, and a renewal that falls due, on or after October 14, 2026, and not to an earlier one.
- If a payment is reversed or disputed: A payment that is later reversed, or that you dispute with your bank or card issuer, stops counting as cleared from that moment: your account becomes read-only, we may end the subscription at once, which is not a termination under Section 9, and whichever of the two items above fits your case then applies, counting from the reversal rather than from the end of the trial or the due date. A reversed payment is not refunded again.
6. Assisted Migration
If you ask us to help move your records from another application ("Assisted Migration"), the following terms apply to your request and, if we accept it, to the move, in addition to the rest of these Terms.
Eligibility: Assisted Migration is available only where you have sent us a request and we have accepted it in writing before your free trial or subscription starts, and only with the subscription plan our website names for it at the time. Starting a free trial or a subscription does not by itself entitle you to Assisted Migration, and we may decline any request, for any reason, without having to give one. An accepted request lapses 14 days after our acceptance if, by then, neither a free trial of nor a subscription to the plan our website names for Assisted Migration has started, unless we agree a later date in writing. We may agree that date after the lapse, but, for a move inside your free trial, not once your free trial has ended or your first payment has been made; after your first payment, a move is one we may offer you as a subscriber under the last sentence of this paragraph. A request revived by such a date is no longer lapsed from the day we agree it; a copy or key that was deleted before that day, or whose deadline for deletion had passed by then, is not kept, and you provide a new one if the move needs it. A request you withdraw by telling us includes no move until we accept a new one; a lapsed request includes none until we accept a new one or agree that later date. If you are already a subscriber when you ask, we may offer a move on terms we agree with you in writing, and this Section applies to it other than its free-trial provisions.
What you provide: Once you have agreed to these Terms, by confirming your agreement to us in writing or by starting your free trial or subscription, you give us a copy of your records (for example an export, a backup, or the application's own data file) through the private channel we agree with you. Where your previous application offers it and its terms allow it, you may instead or in addition grant us access to your records there through an access key or token that you create for the move and can revoke, handed over through the same channel. We use that access only to read your records for the move, we change nothing in your previous application, we keep the key no longer than our copy of your records, and never longer at your request, and we ask you to revoke it as soon as any event occurs after which this Section has us delete the key. Where we ask to see records to judge whether and what can be moved, you may send them, or grant that access, under this Section before we have accepted your request and before your free trial starts; if we then decline your request, the copy and any key are deleted as this Section provides. Never send us passwords, bank credentials or recovery keys. Do not send files before we have agreed the channel, and do not send records that you do not have the right to share. By asking for a move you confirm that you control the account the records go into and that you may share the records, and any access key, with us for it. Section 4's limits on sensitive information do not apply to records or access you provide for an Assisted Migration; we use them only to judge your request and to make the move. Any cost of obtaining your records from your previous application, such as a paid tier it requires for an export, is yours. Any tool we provide to help you export your records is provided as is and for that purpose only; you run it on your own device, under your previous application's terms, and we never receive the credentials it uses.
How the move is done: We direct the Assisted Migration. We decide what can be moved, in what order and by what method, and our assessment of what is feasible is final. We review the records, prepare the move (the accounts, categories and history to be brought over, with transfers between the accounts that come over kept as transfers where your previous application recorded them as such, and, where your connected-bank history overlaps the moved history, a cutoff date we agree with you so a transaction is not counted twice), show you the result for your review, send you a written summary of it (the accounts, balances, totals, category mappings, the period the moved history covers, what stays behind, any agreed cutoff date and any difference we noted with its next step, never a copy of your records), and write it to your account only after you confirm that summary. What we discuss with you by email before or during the move is a plan, not a promise, and this Section governs it. Where our website states that the offer is included with a subscription plan, nothing is charged for it separately.
Scope: What can be moved depends on the condition of your records and on our ability to read them. Out of scope are records we cannot access or read, including (a) encrypted data you cannot open or export yourself first, (b) data held behind another service's access controls with no export and no access you can grant us, and (c) data in a format we cannot interpret. Some elements of your previous application, such as investment lots, budgets, rules, reports, scheduled items and attachments, may not be moved. Any limits stated on our website at the time of your request apply.
Inside your free trial: The Assisted Migration is done, reviewed by you and confirmed inside your free trial, before your first payment. If it will not be complete and confirmed by the end of your free trial, for any reason, including that we have not received what we need from you in time, then before your free trial ends we either extend your free trial, which we may do at our discretion, or end the move. If we end the move, we cancel your free trial before your first payment unless you tell us in writing that you want to keep your account. You may also cancel your free trial yourself at no charge at any time before your first payment. A free trial is available once; a later subscription starts without one.
If your free trial does not convert: "If your free trial does not convert" in Section 5 applies to your free trial, whether your first payment fails or the trial is cancelled, and our copy of your records and any access key are deleted with your account.
Our right to stop: We may stop an Assisted Migration at any stage, at any time and for any lawful reason, without having to give one. If we do during your free trial, we cancel the trial before your first payment unless you tell us in writing that you want to keep your account, you may cancel it yourself at no charge at any time before then, and, at your request, we remove any moved records from your account; that is your sole and exclusive remedy for our stopping it. If we stop a move made outside a free trial, your sole and exclusive remedy is the removal of any moved records from your account at your request. Section 9 also applies to your free trial or subscription.
Your review: Moved records are provided for your review, and Section 3 applies to them. You are responsible for checking balances, transactions and categorizations against your official records, and we do not guarantee that moved records are complete or that they match your previous application. Once you have confirmed the move and your first payment has been made, the move is accepted as reviewed, and no refund is owed for it under this Section except as "If your free trial does not convert" provides.
SOLE REMEDY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IF THE ASSISTED MIGRATION GOES WRONG, OR YOU ARE NOT SATISFIED WITH ITS RESULT FOR ANY REASON, YOUR SOLE AND EXCLUSIVE REMEDY IS TO CANCEL BEFORE YOUR FIRST PAYMENT AT NO CHARGE, DURING YOUR FREE TRIAL OR AS "IF YOUR FREE TRIAL DOES NOT CONVERT" PROVIDES, AND, AT YOUR REQUEST, TO HAVE THE MOVED RECORDS REMOVED FROM YOUR ACCOUNT, INCLUDING FOR A RESULT CAUSED BY OUR NEGLIGENCE. FOR A MOVE MADE OUTSIDE A FREE TRIAL, YOUR SOLE AND EXCLUSIVE REMEDY IS TO HAVE THE MOVED RECORDS REMOVED FROM YOUR ACCOUNT AT YOUR REQUEST. SECTION 12 APPLIES TO ANY OTHER CLAIM IN CONNECTION WITH THE ASSISTED MIGRATION. THESE LIMITS APPLY INDEPENDENTLY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THIS SECTION LIMITS LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
Our copy of your records: We keep our copy, and any access key you gave us, only as long as needed to judge your request, complete the move and any agreed follow-up, and delete them within 30 days after your request is declined, withdrawn or lapsed (a lapse undone within those 30 days by a later date we agree in writing no longer counts), or the move is completed or ends, or after your free trial or subscription ends, unless you ask us in writing to keep the copy longer, which never keeps the key, and except what we must keep, secured and for that purpose only, for a legal obligation or a claim between us, which we delete when that need ends. Until it is deleted, the Privacy Policy applies to our copy as it does to the records in your account; once records are in your account, they are your content under Section 4. Our correspondence with you, including our acceptance of your request, our replies, your confirmation and the summary you confirmed, is not part of our copy or our materials, and the confirmation and the summary are kept with it as the record of what was accepted; but your records in it, whoever sent or quoted them, are part of our copy, and a review page or plan attached to it, other than the summary, is part of our materials.
Our tools and review materials: The tools, scripts, methods, review pages, plans and decision formats we use to prepare and review the move are ours, whether or not any payment is made, and the ownership terms and restrictions of Section 2 apply to them and to any tool we provide to help you export your records, though your use of that tool is governed by "What you provide" above and not by the rest of this paragraph. Any access we give you to them, in whatever form, is for your review of the move only, may be withdrawn at any time, and gives you no right to copy, keep, extract or reuse them, or to share them except with your own advisers for that review; on request, and within 30 days after any event on which this Section has us delete our copy, you delete any copy of them you hold, ask any adviser you shared them with to do the same and use reasonable efforts to see it done, except what law or professional rules require the adviser to keep. This does not reach our correspondence with you, the acceptance of your request or anything else we agree with you in writing, or your own record of what you were shown and confirmed, such as balances, totals, mappings, an agreed cutoff date and any difference we noted with its next step, which you and your advisers may keep and use for your own records and any dispute with us, though a copy of a review page or plan itself is not such a record. This duty does reach a review page or plan attached to our correspondence, other than the summary. Your records and the facts in them or drawn from them remain yours wherever they appear, including in our materials, and those parts of our materials are deleted with our copy as this Section provides. Our general knowledge of how your previous application stores, exports or gives access to its data, learned while judging your request or making your move, is not one of those facts: it is ours to keep and use, and it never includes your records or any part or sample of them, even with names removed. The records in your account and your decisions about the move are yours as well.
7. Third-Party Data Aggregation & Integrations
The Service relies on third-party financial data aggregators and financial institutions to connect accounts, retrieve transactions and balances, and provide financial-data features.
Data Staleness & Delays: Bank syncs and third-party data feeds may be delayed, incomplete, duplicated, miscategorized, stale, unavailable, temporarily disconnected, or permanently unsupported by a financial institution. Account balances and cash-flow metrics may not be real-time and may differ from official bank or card records.
Third-Party Security: We are not responsible for acts, omissions, outages, data inaccuracies, unauthorized access, or security failures of third-party aggregators, financial institutions, payment processors, cloud providers, or other third-party services, except to the extent liability cannot be excluded under applicable law.
8. Third-Party Terms
Your use of third-party integrations, including bank-sync and payment-processing services, may be subject to the third party's own terms, privacy policies, permissions, and account requirements. We do not control those third-party services.
9. Termination
We may suspend, limit, or terminate your access to the Service if we believe you violated these Terms, created security or legal risk, abused AI or API limits, submitted unlawful or harmful content, failed to pay fees, or used the Service in a way that could harm us, users, third parties, or the integrity of the Service. You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.
We may also end a free trial, or terminate a subscription, at any time and for any lawful reason at our sole discretion, with reasonable notice where we can give it, and never because you exercised a right these Terms or the Privacy Policy give you. Ending a free trial costs you nothing under these Terms; a free trial is available once. If we terminate a subscription for any reason other than your material breach of these Terms (including non-payment), we refund the prepaid fees for the unused part of the current billing period, and you keep read-only access to your records for at least 30 days; that refund is your sole and exclusive remedy for the termination.
10. Service Availability and Changes
We may modify, suspend, discontinue, throttle, or limit any part of the Service at any time. We do not guarantee that the Service, integrations, AI features, data feeds, or account connections will be uninterrupted, error-free, secure, or available at all times.
11. Beta and Experimental Features
Some features, including AI chat, receipt extraction, categorization, cash-flow insights, and multi-currency features, may be experimental or in beta. These features may be changed, limited, suspended, or discontinued at any time and may produce inaccurate or incomplete results.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILKTECH, LLC D/B/A QUAESTOR LEDGER, ITS MEMBERS, MANAGERS, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
UNDER NO CIRCUMSTANCES WILL SILKTECH, LLC D/B/A QUAESTOR LEDGER BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SILKTECH, LLC D/B/A QUAESTOR LEDGER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF THE ACTION, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE FOR THE BILLING PERIOD IN WHICH THE EVENT GIVING RISE TO THE CLAIM OCCURRED, OR (B) FIFTY U.S. DOLLARS ($50.00). THIS LIMIT DOES NOT REDUCE A REFUND THESE TERMS PROVIDE IN SECTIONS 5, 6 AND 9.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.
13. Governing Law and Dispute Resolution
Governing Law: These Terms and your relationship with SilkTech, LLC d/b/a Quaestor Ledger are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules.
Informal Dispute Resolution: Before filing any claim, you agree to first contact us at support@quaestorledger.com with a written notice describing the dispute, the email address associated with your account, the relief requested, and any relevant information. The parties will attempt in good faith to resolve the dispute informally for 30 days.
Small Claims: If a dispute is not resolved informally, either party may bring an individual claim in a small-claims court of competent jurisdiction if the claim qualifies.
Court Venue: For disputes that are not resolved informally and do not qualify for small-claims court, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas, United States, except where applicable law requires another venue.
Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SILKTECH, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, MASS, OR PRIVATE-ATTORNEY-GENERAL PROCEEDING.
Injunctive Relief: Nothing in this section prevents either party from seeking temporary, preliminary, or permanent injunctive relief to address unauthorized access, misuse of the Service, intellectual-property violations, security threats, or misuse of confidential information.
14. Indemnification
You agree to defend, indemnify, and hold harmless SilkTech, LLC d/b/a Quaestor Ledger, its founders, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms of Service; (b) your misuse of the App or its AI features; (c) your reliance on the Service's data for tax, accounting, or financial reporting; or (d) your violation of any third-party right, including financial institution terms. This indemnity does not apply to the extent a claim arises from SilkTech, LLC's gross negligence, willful misconduct, or violation of applicable law.
15. Sanctions and Export Compliance
You may not use the Service if you are located in, ordinarily resident in, organized under the laws of, or acting on behalf of a country, region, person, or entity subject to applicable sanctions or trade restrictions. You may not use the Service in violation of export-control, sanctions, anti-money-laundering, or similar laws. We may suspend or terminate access where we believe continued access creates legal or compliance risk.
16. Taxes
Subscription fees are exclusive of applicable taxes unless stated otherwise at checkout. You are responsible for any taxes, duties, or governmental charges associated with your purchase, except taxes based on our income.
17. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms, updating the "Last Updated" date, emailing you, or providing in-app notice. Continued use of the Service after the effective date of updated Terms means you accept the updated Terms.
18. General Terms
These Terms, together with the Privacy Policy and any checkout or subscription terms, form the entire agreement between you and SilkTech, LLC regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets.
